Bylaws Summary

 

Rancho Cordova Arts became a California Public Benefit Non-Profit Corporation and a 501(c)3 Public Charity Non-Profit Organization under federal law on April 20, 2018. This makes any donations tax-deductible to the full extent of the law. Our Board meetings are held every third Monday of the month (except December).  Meetings are held online during this time of social distancing.

 

Here are highlights from the Bylaws:

1.                    Board may have variable number of board members (9 to 11), size determined by Board. 

2.                    Mayor appoints one board member.

3.                    Board members serve 3-year terms.  (We will stagger the length of the initial terms, so one third of the board is elected each year.)

4.                    After two 3-year terms, Board members must take a year off.

5.                    Officers are elected each year at Annual Meeting, third Tuesday of May, taking effect on June 1st.

6.                    Fiscal Year is January 1 to December 31.

7.                    Rosenberg’s Rules of Order (similar to Roberts’ but simplified) used in meetings.

8.                    Board members are not paid.

9.                    Strict conflict of interest policy.

10.                Checks are signed by the treasurer and countersigned by the president.

11.                ‘Members’ are ‘honorary members’; have no voting rights in the corporation.

Bylaws follow template from Nolo Press.  Whenever word “Member” shows up, it means the Directors, because we don’t have voting members.
